Depositary Receipts Transactions Manager
The Depositary Receipt (DR) Group’s transaction team functions as a strategic advisor and implementation agent in executing standard, unique and complex corporate actions. Central to the team’s role is its ability to coordinate with issuer and third-party advisors such as investment banks and law firms so transaction objectives are executed to meet exacting legal, regulatory, exchange and stock clearing agency requirements.
The Role
Provide timely, accurate and proper communications and notices to the DR broker and investor constituencies (e.g., published notices, announcements; information centres for institutional and retail holders).
Recommend optimal structures and provide execution services for corporate actions, offerings, exchanges, and restructurings.
Assist issuers and their advisors on range of capital market, listing and regulatory matters relating to DR program organization, launch, and on-going equity and capital structure enhancement.
Coordinate Corporate Action implementation with issuer’s internal and external legal counsel, stock exchanges, regulatory agencies, proxy solicitation firms, clearing agencies (e.g., Depository Trust Company, Euroclear, Clearstream) and other advisor parties. Candidate Specification
Strong working knowledge of the securities industry
Deep understanding of Corporate Actions
Ability to work independently while successfully engaging as a member of the DR Client Solutions team
